These Terms & Conditions ("Terms") govern your access to and use of the website bluehbr.com and the professional services provided by BlueHarbor Tech LLC ("BlueHarbor Tech", "we", "us"). By using our website or engaging our services you agree to these Terms.
1. Services
BlueHarbor Tech provides software development, SaaS, web and mobile application development, digital marketing, SEO and IT consulting services. The specific scope, deliverables, timeline and price of each engagement are set out in a separate Statement of Work or Master Services Agreement signed by both parties.
2. Eligibility
You must be at least 18 years old and legally able to enter into a binding contract to engage our services. By engaging us you represent that the information you provide is accurate and that you are authorized to bind your organization.
3. Payment Terms
- Invoices are issued monthly unless otherwise agreed in writing.
- Payment is due within 14 days of invoice date.
- Payments are processed via secure, PCI-DSS compliant providers (including Stripe, PayPal or ACH bank transfer).
- Late payments may accrue interest at 1.5% per month or the maximum permitted by law.
4. Intellectual Property
Upon full payment, all custom code, designs and deliverables produced specifically for the client are assigned to the client. BlueHarbor Tech retains ownership of pre-existing tools, libraries and methodologies used to deliver the services.
5. Confidentiality
Both parties agree to keep confidential all non-public information disclosed during the engagement, and to use such information only for the purpose of performing the services. A separate NDA may apply.
6. Acceptable Use
You agree not to use our website or services to: (a) violate any law or regulation; (b) infringe intellectual property rights; (c) transmit malicious code; (d) engage in fraudulent activity; or (e) operate any business prohibited by our payment processors, including gambling, adult content, unregulated financial services or other high-risk industries.
7. Warranties & Disclaimers
We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards. Except as expressly stated, services and website content are provided "as is" without warranty of any kind.
8. Limitation of Liability
To the maximum extent permitted by law, BlueHarbor Tech's total liability for any claim arising out of or relating to these Terms or the services shall not exceed the fees paid by the client in the three (3) months preceding the claim.
9. Termination
Either party may terminate an ongoing engagement with 30 days' written notice. The client remains responsible for payment of all work completed up to the termination date.
10. Governing Law
These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws principles. Any dispute shall be resolved in the state or federal courts located in Allegheny County, Pennsylvania.
11. Changes to These Terms
We may update these Terms from time to time. Changes are effective when posted on this page. Continued use of our website or services constitutes acceptance of the updated Terms.
